Terms of Service

1. The Service

LocalPulse is a fully managed Google Business Profile (GBP) management service. This includes, depending on your plan: AI-generated review replies, AI-generated and scheduled Google Posts, Google Maps ranking tracking, competitor tracking, review request tools, and monthly performance reporting.

To provide the Service, you grant JMG Digital manager-level access to your Google Business Profile via a shared agency Google account. You retain full ownership of your Google Business Profile at all times and may revoke this access at any time.

2. Managed Service Model

Unlike self-serve software, LocalPulse operates your Google Business Profile on your behalf. AI-generated content (review replies, posts) may be published automatically depending on your configuration, or held for your approval, depending on the settings agreed during onboarding. You are responsible for reviewing your account configuration and notifying us if you want approval-before-publish enabled.

3. Google Account Access and Security

3.1 To provide the Service, you grant manager-level access to your Google Business Profile to a single Google account operated by JMG Digital (“the Agency Account”), used to manage Google Business Profiles across our entire client base. You acknowledge and accept this shared-access model as a core feature of how the Service is delivered.

3.2 We apply industry-standard security measures to protect the Agency Account and our systems, including access controls, monitoring, and credential management practices, and we review these measures on an ongoing basis. However, no system, account, or provider — including Google’s own infrastructure — can be guaranteed to be immune from unauthorized access, compromise, phishing, credential theft, or security incidents (“Security Incident”).

3.3 In the event of a Security Incident affecting the Agency Account or our systems, we will: (a) act promptly to contain and remediate the incident, including revoking or rotating affected credentials; (b) notify affected clients without undue delay once we are aware a Security Incident has or is likely to have affected their Google Business Profile; and (c) comply with our notification obligations under the GDPR and applicable law, including notifying the relevant supervisory authority within the legally required timeframe where applicable.

3.4 To the maximum extent permitted by law, JMG Digital is not liable for any loss, damage, unauthorized posts, content changes, review responses, data exposure, business interruption, reputational harm, or other consequences arising from a Security Incident, where JMG Digital has applied the security measures described in clause 3.2 and has not acted with gross negligence or intent. This limitation applies regardless of whether the Security Incident originates from JMG Digital’s systems, the Agency Account, a sub-processor (see Privacy Policy), or Google’s own platform.

3.5 You may revoke the Agency Account’s access to your Google Business Profile at any time via your own Google Business Profile settings, independently of your LocalPulse subscription status. This is your primary and immediate remedy in the event of a suspected Security Incident, and we encourage you to exercise it without waiting for our confirmation if you have independent reason for concern.

3.6 You agree not to hold JMG Digital liable for actions taken via the Agency Account that result from your own failure to revoke access after terminating the Service, or from your own security failures (e.g., a compromised email account used to reset your LocalPulse or Google credentials).

4. Fees and Billing

Fees are as set out at signup or in your signed offer/agreement, and may include a one-time setup fee and a recurring monthly or annual subscription fee. Subscriptions renew automatically until cancelled. Fees are billed in advance via Stripe. Prices are exclusive of VAT unless stated otherwise; VAT will be added where applicable under Dutch/EU law.

5. Free Trials

If a free trial is offered, it runs for the period stated at signup. We may require payment card details to start a trial. Unless you cancel before the trial ends, your paid subscription (including any setup fee) will begin automatically at the end of the trial.

6. Cancellation

You may cancel your subscription at any time via your account dashboard or by contacting hey@local-pulse.io. Cancellation takes effect at the end of your current billing period. No refunds are given for partial billing periods except where required by law. The one-time setup fee is non-refundable once onboarding work has begun.

7. Client Responsibilities

You are responsible for: providing accurate business information; ensuring you have the right to grant us access to your Google Business Profile; reviewing AI-generated content where approval workflows are enabled; and complying with Google's own Business Profile guidelines and applicable advertising/consumer law for content published on your behalf.

8. AI-Generated Content

Review replies, posts, and other content may be generated using AI (including third-party AI providers). While we configure the AI using your business's tone, industry, and instructions, we do not guarantee that AI-generated content will be error-free at all times. You may request review/approval workflows, and you remain responsible for the accuracy of your public-facing business communications.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted access to the Service. The Service depends in part on third-party platforms (Google Business Profile API, Stripe, and others) that are outside our control, and we are not liable for outages or limitations caused by those third parties.

10. Intellectual Property

JMG Digital retains all rights to the LocalPulse software, platform, and underlying technology. You retain ownership of your business content, reviews, and Google Business Profile data. We may use anonymized, aggregated data to improve the Service.

11. Limitation of Liability

To the maximum extent permitted by law, JMG Digital's total liability arising out of or related to the Service — including any liability arising from a Security Incident as defined in clause 3 — is limited to the fees you paid us in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits, business, or goodwill, except in cases of intent or gross negligence. Clause 3 (Google Account Access and Security) governs specifically in the case of unauthorized access to the Agency Account or our systems, and takes precedence over this clause where the two overlap.

12. Termination

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay fees when due, or misuse the Service. We will make reasonable efforts to notify you first, except in cases of serious or repeated breach.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or via the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes will be submitted to the competent court in Amsterdam, without prejudice to any mandatory consumer protection rights you may have under the law of your country of residence.
