Affiliate Program Terms

1. Joining the program

You apply through the form on local-pulse.io/affiliates. We review every application and may accept or decline it without giving a reason. Once accepted, you receive access to an affiliate dashboard with your personal tracking link and referral code.

You act as an independent contractor. Nothing in these Affiliate Terms creates an employment relationship, partnership, joint venture or agency, and you may not make commitments on our behalf.

2. Referrals and tracking

• A business is credited to you when it signs up for LocalPulse within 90 days of opening your tracking link, or when it enters your referral code during signup.
• If a business opened links of several affiliates, the first affiliate whose link it opened is credited. A business is only ever credited to one affiliate at a time.
• Tracking relies on a cookie. If a business blocks or clears cookies and does not enter your code, we may not be able to credit you.
• You cannot earn commission on yourself, your own business, or businesses you own or control.
• If a referral was credited by mistake, or in case of fraud, we may correct the attribution. If a client is moved to another affiliate, the new affiliate only earns for the months that remain of that client's 36-month commission period.

3. Commission

• You earn 20% of the amounts that a client you referred actually pays us for LocalPulse, excluding VAT and after any discounts, credits or refunds, unless we agreed a different rate with you in writing.
• Commission is earned on every payment the client makes during 36 months from their first paid invoice. After 36 months, no further commission is earned on that client.
• No commission is earned on free plans, free periods, or invoices that are not paid.
• Commission is booked in your dashboard when the client's payment is received.

4. Hold period, refunds and chargebacks

Each commission becomes payable 30 days after the client's payment. If a payment is refunded or charged back, the commission on it is reversed. If that commission was already paid to you, the amount is deducted from your next payouts.

Amounts shown in your dashboard are provisional until they are paid out, and remain subject to these Affiliate Terms.

5. Payment

• We pay monthly, by bank transfer in euros, all commission that is payable on the payout date, as long as the total is at least €50. Smaller amounts roll over to the next month.
• To be paid, you must keep complete and correct billing details in your dashboard (legal name, address, country, VAT number if you have one, and bank account). We are not responsible for payments delayed or lost because of incorrect details.
• Your own bank charges, if any, are for your account.
• You are responsible for declaring your commission income and paying any taxes on it in your country.

6. Self-billing

If you are a business, you agree that LocalPulse issues invoices on your behalf for the commission we pay you (self-billing), and you will not send us separate invoices for the same commission. Each self-billed invoice has its own number in our series, states that it is issued by the customer on behalf of the supplier, and is sent to you by email with the payment.

VAT is applied according to the details in your billing profile: Dutch VAT at the applicable rate if you are VAT-registered in the Netherlands, no VAT if you use the Dutch small business scheme (KOR), reverse-charged VAT if you are a VAT-registered business in another EU country, and no Dutch VAT if you are established outside the EU. You must tell us immediately if your VAT status changes.

If you disagree with a self-billed invoice, tell us within 14 days of receiving it and we will correct it. Otherwise it is considered accepted.

If you are a private individual, we send you a payment statement instead of an invoice, without VAT.

Either party may end the self-billing agreement at any time with written notice. We cannot pay commission while no self-billing agreement is in place, but earned commission remains due once it is restored or once you send a valid invoice.

7. How you may promote LocalPulse

• Always make clear that you earn a commission when you recommend LocalPulse.
• Only make claims that are true and match our website. Do not promise rankings, results, prices or discounts that we do not offer.
• Do not send unsolicited bulk emails or messages, and comply with privacy and marketing laws (including the GDPR and e-privacy rules) for any contact data you use.
• Do not bid on "LocalPulse", "Local Pulse" or similar terms in paid search ads, and do not register domain names, social accounts or apps that include our name.
• Do not present yourself as LocalPulse or as our employee, and only use our logo as provided in your dashboard, without changes.
• Do not use cookie stuffing, forced clicks, incentivised signups or any other method that credits referrals you did not genuinely make.

8. If these rules are broken

• Minor breach (for example a missing commission disclosure or an inaccurate claim): we tell you in writing and you correct it within 7 days. A minor breach that is not corrected in time, or that happens again, counts as a serious breach.
• Serious breach: fraud or referrals you did not genuinely make (including self-referrals, cookie stuffing, forced clicks and incentivised signups), bidding on our brand terms, registering names that include our name, sending spam, or presenting yourself as LocalPulse.
• No commission is owed on referrals obtained through a breach. If we already paid commission on them, we may recover it.
• After a serious breach, we may end your participation immediately, and all commission not yet paid out at that moment is forfeited.
• While we investigate a suspected breach, we may hold the commission concerned for up to 60 days. We will tell you why.
• We may deduct any amount you owe us under these Affiliate Terms, including recovered commission and damages, from commission we owe you.
• You indemnify LocalPulse against claims by third parties, fines and reasonable costs, including legal fees, that result from your breach of these Affiliate Terms or of the law when promoting LocalPulse.

9. Ending the agreement

You may leave the program at any time by emailing us. We may end your participation at any time with notice, or immediately if you breach these Affiliate Terms.

When your participation ends, you stop earning commission, including on clients you referred earlier. Commission earned on client payments received before the end date is still paid under these Affiliate Terms. If your participation ends because of a serious breach, section 8 applies instead.

10. Liability

Our total liability to you under these Affiliate Terms is limited to the commission paid or payable to you in the 12 months before the claim. We are not liable for indirect or consequential loss. Nothing in these Affiliate Terms limits liability that cannot be limited by law.

11. Changes

We may change these Affiliate Terms or the commission rules. We will tell you by email at least 30 days before a change takes effect. Changes never reduce commission already earned. If you do not agree, you may leave the program before the change takes effect.

12. Personal data

We process your personal and billing data to run the program, pay you and meet our accounting obligations, as described in our Privacy Policy.

13. Governing law

These Affiliate Terms are governed by the laws of the Netherlands. Disputes are submitted to the competent court in Amsterdam.
